Terms of Service

These Terms of Service (“Terms”) are a binding agreement between Ordelo LLC (“Ordelo”, “we”, “us”) and the person or business that creates an account or uses the Ordelo platform (“you”). By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Ordelo is an online ordering platform for small food businesses. It lets you publish a menu, take orders through a shareable link, schedule orders around your prep days, and receive payment through your own connected payment processor. We provide the software; you run your food business.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your password secure, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Subscriptions, billing & cancellation
- Access to the Service requires a paid subscription to a plan described on our pricing page. Plans are billed monthly in advance.
- Subscriptions renew automatically each billing period until cancelled. You authorize us to charge your payment method on each renewal.
- You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, payments are non-refundable and we do not provide prorated refunds for partial periods.
- We may change plan features or pricing on a prospective basis with reasonable notice. Continued use after a change takes effect is your acceptance of it.
- If a charge fails, we may suspend or downgrade your access until payment is resolved.
4. Payments to you & your role as merchant
- Customer payments for your orders are processed through your own connected Stripe or Square account. Ordelo does not process, hold, or take a percentage of those funds, and is not a party to the sale between you and your customers.
- You are the merchant of record for orders placed through your page. You are solely responsible for fulfilling orders, setting prices and taxes, issuing refunds, handling chargebacks and disputes, and complying with the terms of your payment processor.
- Your use of Stripe and Square is also governed by their respective agreements; you are responsible for maintaining those accounts in good standing.
5. Your responsibilities & compliance
You are solely responsible for your food business and its compliance with all applicable laws — including food safety, labeling, cottage-food and licensing rules, allergen disclosure, sales tax, and consumer-protection requirements in your jurisdiction. Ordelo is a software tool and does not verify your eligibility to sell food, inspect your products, or assume any responsibility for what you sell or how you fulfill it.
6. Acceptable use
You agree not to use the Service to: violate any law; sell items you are not legally permitted to sell; infringe others’ rights; upload malicious code; attempt to gain unauthorized access to the Service or its data; interfere with or overload the Service; scrape or resell the Service; or misuse the conversational ordering or AI features (for example, to attempt prompt injection, extract other users’ data, or generate abusive content).
7. Your content & data
You retain ownership of the content you provide — your menu, descriptions, images, and business information (“Your Content”). You grant Ordelo a non-exclusive, worldwide license to host, display, and process Your Content solely to operate and improve the Service. You represent that you have the rights to Your Content and that it does not violate any law or third-party right.
Personal information is handled as described in our Privacy Policy. For the personal data of your own customers, you are the data controller and Ordelo acts as your processor.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by Ordelo and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active. We reserve all rights not expressly granted.
9. Third-party services
The Service relies on third-party providers (including Stripe, Square, OpenAI, and our email and hosting providers). We are not responsible for the availability, acts, or omissions of those providers, and your use of them may be subject to their own terms.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated suggestions will be accurate. You use the Service at your own risk.
11. Limitation of liability
To the fullest extent permitted by law, Ordelo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Ordelo and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your products and orders, or your violation of these Terms or any law.
13. Suspension & termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to Ordelo, other users, or third parties. On termination, your right to use the Service ends; sections that by their nature should survive (including payment obligations, disclaimers, limitation of liability, and indemnification) will survive.
14. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The state and federal courts located in Florida will have exclusive jurisdiction over any dispute, and you consent to their jurisdiction and venue.
15. Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
